Terms + Conditions

01 - All costs quoted by Mango Media exclude Value Added Tax (VAT) where applicable and are valid for a period of thirty days from the date of the quotation.

02 - The costs provided when quoting are guide prices based on anticipated creative, time, and production requirements—plus client co-operation in providing content, meeting deadlines, and granting approvals. Within reason, additional charges may apply if significant variations occur. While charges are unlikely to deviate significantly from those quoted unless requirements change, please allow a 20% contingency on your budget for unforeseen requirements or scope creep. Note that late payment of invoices may result in additional fees under the Late Payment of Commercial Debts (Interest) Act 1998.

03 - No creative or development work will commence until Mango Media has received:
  • Written approval of the quotation (email is acceptable)
  • A minimum deposit of 50% of the agreed costs, unless otherwise agreed in writing.
  • This also applies to staged or phased projects; a deposit will be required before proceeding to each new stage.

04 - Unless otherwise agreed in writing, the balance of payment will be due in full on project completion (e.g., upon approval of a logo, delivery of printed items, deployment of a website, sending of an e-shot, etc.). Failure to settle the final invoice promptly may result in project delays. All invoices must be fully paid prior to final go-live or supply of assets/materials. Late payment of invoices may result in additional charges, including statutory interest. Mango Media reserves the right to charge an additional 8% of the outstanding balance if payment is not made within 72 hours of the payment request.

05 - If a quotation specifies that a job is approached in phases, each stage must be paid in full on completion before the agency proceeds to the next phase. If the project is billed in multiple stages (e.g., an initial 50% deposit and two further payments of 25%), the balance may be charged in full upon completion or via additional staged payments at Mango Media’s discretion.

06 - If any project exceeds the estimated timeline or extends beyond twelve weeks from the quotation approval date (whichever comes first), Mango Media reserves the right to invoice 25% of any outstanding balance, with the remaining 25% payable upon completion. Mango Media may also invoice for any completed work, irrespective of whether final content or approval has been provided by the client.

07 - Any printing, fulfilment, mailing, or third-party services provided by Mango Media will require a minimum up-front payment of 75% (or higher, depending on the total cost) of the agreed amount. Mango Media will be unable to proceed without proof of this payment.

08 - Unless otherwise stated above or agreed in writing, all invoices fall due within 72 hours of the invoice date. Please note how clauses 03, 04, 05, and 07 impact timelines and project progression.

09 - Unless otherwise agreed in writing, work generally commences within ten working days after receipt of the deposit. Any anticipated completion date is subject to factors such as client co-operation (providing information, logos, images, approvals), requested amendments, or additional requirements. Mango Media will endeavour to meet agreed timelines but assumes no liability if the project overruns due to client delays or force majeure.

10 - Fees quoted allow for at least two creative options per brief. If the client remains dissatisfied after two rounds of work, Mango Media may develop an additional round of creative development. If no agreement on direction is reached after this third round, Mango Media reserves the right to end the agreement without refund of deposits or payments previously made.

11 - Costs cover up to three sets of client amends. Further amends may be chargeable, although the client will be notified beforehand.

12 - At each stage (including prior to print or website publishing), the client must “sign off” approval in writing (email acceptable). No additional development can occur until written approval is received. Amendments after sign-off may incur further charges, of which the client will be notified.

13 - Fees allow for occasional meetings at key stages for a ‘reasonable’ duration. Lengthy or frequent additional meetings may incur extra charges, with prior notification given.

14 - Unless otherwise agreed in writing, a standard disbursement charge covers expected costs (e.g., in-house colour printing, travel, postage).

15 - Unless otherwise agreed in writing, quoted fees exclude VAT (where applicable), stock library images outside Mango Media’s standard sources, bespoke illustrations, advanced copywriting, hosting or backups, translation, extra travel, external talent (models, actors), and other third-party expenses (merchant fees, printing costs, etc.). Such costs may be passed on at cost plus any applicable management fee, with prior notification.

16 - Typically, the client provides most copy and images. Mango Media can supply a full copywriting service or additional creative resources at extra cost. Purchased stock images from standard sources usually cost £45 + VAT per image to cover sourcing and licensing; more specialized images may cost more, with prior client notification.

17 - Mango Media recommends clients use its preferred suppliers for print/production for quality control. Clients may opt to use their own suppliers, but Mango Media accepts no responsibility for third-party processes or final outputs not sourced via its own suppliers.

18 - Mango Media may collaborate with external specialists (sign manufacturers, photographers, illustrators, film makers, interior designers, web developers/coders) to broaden its services. Any costs for these third-party services may be passed on, with prior client notification.

19 - Colour variance can occur across different devices, proofs, substrates, and printing processes. Mango Media cannot guarantee exact colour consistency and is not liable for colour variations or unexpected results stemming from these uncontrollable factors.

20 - All designs, artwork, and related rights remain Mango Media’s intellectual property until full payment is received. Upon settlement of the final balance, ownership of final commissioned work is transferred to the client, excluding unused or rejected concepts, designs, or files. Mango Media may credit itself and showcase the completed work in portfolios or promotional materials unless otherwise prearranged.

21 - Mango Media will not knowingly infringe copyright or trademark. The client bears ultimate responsibility for verifying non-infringement and registering any trademarks if needed.

22 - At its discretion, Mango Media may provide final artwork (e.g., print-ready PDFs, DVD masters, outlined EPS) upon project completion. Original “working files” (InDesign, layered PSD, HTML source, etc.) or unused/rejected files remain Mango Media’s property and are not supplied unless specifically agreed.

23 - Mango Media will not disclose or use any proprietary or confidential client information for its own benefit, acting reasonably to protect such data.

24 - The client indemnifies Mango Media against any claims, losses, liabilities, or damages arising from the work or services provided. Mango Media is not liable for third-party delays, errors, or losses.

25 - The client must notify Mango Media in writing of any defects or problems within thirty (30) days of the final invoice date. Claims made after this period may not be addressed.

26 - For web-related projects, unless otherwise stated, the client retains ownership of the web page design only. Proprietary software, code, and integrated CMS/e-commerce systems remain Mango Media’s or respective third-party’s intellectual property.

27 - Mango Media offers hosting services for websites but does not guarantee 100% uptime. Separate terms apply to hosting, particularly for CMS or e-commerce sites, which require Mango Media’s hosting solution for maintenance and support.

28 - A credit line (such as “Design by Mango Media”) may appear on final products (print or digital). Unless otherwise arranged, Mango Media reserves the right to reference and showcase the work for self-promotion.

29 - These terms supersede all previous versions and apply to all current and future projects unless otherwise agreed in writing. Mango Media reserves the right to alter these terms with immediate effect. By accepting a quotation or paying a deposit, the client confirms acceptance of these terms, without prejudice to statutory rights. This agreement shall be governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the English courts.
